These Terms of Use ("Terms") govern access to and use of nivasportal.com and the Nivas Portal web application (the "Service"), operated by Nivas Portal, Sole Proprietor ("Nivas Portal", "we", "us", "our"). By creating an account, joining a society, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Nivas Portal is a web-based management portal for Indian housing societies (apartments, CHS, RWAs and villa townships), covering maintenance billing, defaulter/dues tracking, optional late-payment penalties, expense and income tracking, notices/circulars, complaints, staff and visitor logs, QR-coded parking stickers, a document vault, and an Emergency SOS alert button. It runs entirely in the browser — no separate app installation is required, though it can be installed as a shortcut (PWA) on supported devices.
2. Eligibility & accounts
You must be at least 18 years old and capable of entering into a binding contract under Indian law to create an account. You are responsible for the accuracy of the information you provide and for keeping your login credentials confidential. You are responsible for all activity that occurs under your account.
The Service uses role-based access: super_admin and committee (society administrators), accountant (finance-only access), owner and tenant (residents), and security (gate/guard access). Each society's administrators decide which role each member is assigned and, where configurable, which features each role can see.
3. Responsibilities of societies & administrators
The individual(s) who register and administer a society on the Service are responsible for:
- Having a lawful basis for entering or uploading personal data of residents, staff and vendors, and informing residents that their data has been added to the platform;
- The accuracy of billing amounts, charges, GST configuration and penalty settings entered into the Service — Nivas Portal does not determine GST applicability or advise on whether any specific charge is legally correct for your society; that is a decision for your society's own accountant or chartered accountant;
- Compliance with your society's own bye-laws and any applicable cooperative-society, apartment-owners'-association or RWA regulations; and
- Lawful, non-defamatory content in any notice, complaint, comment or document posted through the Service.
4. Fees, free trial & payment
The Service is offered on a single paid plan, priced per unit per month (a separate rate applies to apartments and villas), shown at the time of registration and on your society's Settings page. New societies receive a 30-day free trial with no payment required upfront. Subscription payments are collected manually via UPI to the platform's UPI ID shown in Settings; there is no automated recurring card billing. Access may be suspended if a subscription is not renewed after the trial or an active billing period ends.
Pricing may change for future billing periods, but a rate change will never retroactively alter the amount already billed or reported for a society's past periods.
5. Cancellation & refunds
You may stop using the Service at any time. Except where required by law, fees already paid are non-refundable, including for partial billing periods. [Confirm this is your intended refund policy, or replace with your own.]
6. Acceptable use
You agree not to: use the Service for any unlawful purpose; attempt to gain unauthorized access to another society's data or another user's account; upload defamatory, obscene, or infringing content; scrape, reverse-engineer, or resell the Service without our written consent; or interfere with the Service's normal operation (e.g. through excessive automated requests).
7. Content & ownership
You retain ownership of the data and content you or your society submit (bills, notices, complaints, documents, etc.). You grant Nivas Portal a limited license to host, process and transmit that content solely to provide the Service. Nivas Portal, its logo, and the underlying software are owned by us and are not transferred to you by these Terms — you receive only a limited, non-exclusive, non-transferable license to use the Service for your society's own management.
8. Third-party services
The Service relies on third-party infrastructure and providers, including Google Firebase/Google Cloud, email delivery providers (Resend, SendGrid and/or Amazon SES), Google Analytics, and residents' own UPI payment apps. We are not responsible for outages, errors or losses caused by these third parties that are outside our reasonable control.
9. Marketing communications & monetization
Registering a society, or creating an account to join one, is treated as consent to receive occasional marketing and promotional communications from Nivas Portal — new features, upgrade offers, and similar product updates — for as long as your account or society remains registered. This is separate from, and does not affect, the transactional emails required to operate your society (bills, payments, notices, invitations, password resets), which are never gated by this consent.
We also reserve the right to monetize the Service by displaying affiliate links, sponsored offers, Community Partner placements, or similar commercial content to residents within the Service (for example, on the resident dashboard). Such placements reflect our own commercial arrangements and are shown as part of using the Service.
10. Emergency SOS — important safety disclaimer
The Emergency SOS feature notifies your society's security guards and committee members through the Service. It is not a substitute for contacting official emergency services— in a genuine emergency, always call Police (100/112), Fire (101) or Ambulance (108) directly. Delivery and response depend on your society's own guards/committee being available, having notifications enabled, and having an internet connection; Nivas Portal does not guarantee delivery, response time, or that any particular person will see or act on an SOS alert.
11. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that all data will be preserved without loss. The Service does not provide legal, tax, or accounting advice — including on GST applicability, penalty/interest calculations, or statutory record-keeping obligations — and any such determinations remain your society's responsibility, ideally in consultation with a qualified professional.
12. Limitation of liability
To the maximum extent permitted by Indian law, Nivas Portal and its operator shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service. Our total aggregate liability for any claim arising from these Terms or the Service shall not exceed the total subscription fees paid by your society in the twelve (12) months preceding the claim, or, for societies within their free trial, zero. [Confirm this liability cap matches your intent.]
13. Indemnification
You agree to indemnify and hold Nivas Portal harmless from any claim, loss, or damage (including reasonable legal fees) arising from your content, your use of the Service in violation of these Terms, or your society's failure to obtain appropriate consent for data you upload about others.
14. Suspension & termination
We may suspend or terminate access for non-payment, breach of these Terms, or unlawful or abusive use. You or your society may stop using the Service at any time. Data export (e.g. member/report CSV downloads) is available while your account is active; on termination, data is retained per our Privacy Policy's retention terms and then deleted, subject to legal retention obligations.
15. Changes to these Terms
We may update these Terms from time to time. Material changes will be reflected by an updated "Last updated" date on this page and, where appropriate, communicated by email or in-app notice. Continued use of the Service after changes take effect constitutes acceptance.
16. Governing law & jurisdiction
These Terms are governed by the laws of India. Courts at Thane, Maharashtra shall have exclusive jurisdiction over any dispute arising from these Terms or the Service.
